01Partner appointment
These Partner Terms apply to every account given partner status, referral attribution, co-marketing access, promotional assets or a commercial partner benefit. Partner status is a limited, revocable permission; it creates no employment, franchise, joint venture, fiduciary duty, territorial exclusivity or authority to bind Ident.ink.
Only the account and legal person approved in writing may use the status. Access is non-transferable and may be re-verified at any time.
03No misleading claims
- Do not promise guaranteed uptime, earnings, rankings, security, acceptance, features, pricing or results not stated in current official material.
- Do not present yourself as Ident.ink staff, support, an exclusive agent or an authorised reseller unless a signed agreement says so.
- Disclose the commercial relationship clearly and prominently wherever law or audience expectation requires it.
- Do not bid on Ident.ink marks, register confusing domains or accounts, or publish fake reviews and testimonials without prior written approval.
04Brand licence
During active approval, Ident.ink grants a limited, non-exclusive, non-sublicensable, revocable licence to use supplied partner assets solely for approved promotion. Follow current brand instructions, do not alter a mark beyond supplied variants, and submit material for review when requested.
All goodwill belongs to the relevant owner. Stop use and remove assets promptly after notice or termination. No approval transfers ownership.
05Referrals and attribution
Referral credit exists only where the platform records an eligible referral through the approved link or mechanism before purchase. Cookie deletion, prior accounts, an existing sales relationship, self-referral, duplicate attribution, employee or household collusion, refunded payments and fraud may make a referral ineligible.
Do not obscure a link destination, inject attribution, overwrite another partner’s referral, use adware or browser extensions, pre-fill consent, or place cookies without a genuine user action and lawful notice. Ident.ink’s good-faith records control attribution, subject to correction of demonstrated error.
06Commission and payout
No commission is owed unless a current written offer states the rate and eligibility. Earnings accrue only on cleared, non-fraudulent, non-refunded subscription revenue actually received, net of taxes, processor fees, credits, chargebacks and reversals where the offer says so.
Payout requires successful Stripe Connect onboarding and the published threshold. We may hold a payout while risk, identity, refund or attribution is investigated. Invalid earnings may be reversed and offset. You are responsible for taxes and reporting on compensation.
07Marketing restrictions
- No unsolicited bulk email or messages, purchased lists, automated DMs, spam comments or contact that ignores an opt-out.
- No promotion on unlawful, hateful, exploitative, sexually explicit, deceptive, pirated or malware-related content.
- No coupons, prices, plan limits or screenshots that are expired or materially altered.
- No sub-partners, networks or paid introducers without prior written approval; you remain responsible for approved subcontractors.
08Data and confidentiality
Use personal data only for the lawful, disclosed partner purpose and only for as long as needed. Do not export, combine, sell or reuse leads supplied by Ident.ink. Apply appropriate access controls, incident response and deletion practices.
Non-public pricing, roadmaps, metrics, security information, customer data and commercial discussions are confidential. Use them only to perform the partnership and disclose them only to authorised people bound to protect them. Legally compelled disclosure requires advance notice where lawful.
09Records, audit and cooperation
Keep accurate promotion, consent, attribution and compliance records for at least the period required by applicable law and any written campaign rules. On reasonable notice, provide evidence needed to investigate a claim, regulator enquiry or suspected abuse. We may test public promotions and suspend tracking during an investigation.
10Partner platform access
Partner access may include paid software features but excludes hosting and bot execution unless expressly stated in writing because those services consume separate infrastructure. Usage caps, security controls and the Terms of Use continue to apply. Partner status never grants administrator or staff permission.
11Suspension and termination
Either party may end an open-ended partnership on written notice. Ident.ink may suspend or terminate immediately for fraud, spam, misleading claims, brand misuse, illegality, security risk, payment manipulation, confidentiality breach, reputational harm or failure to cooperate.
On termination you must stop representing the relationship, remove marks and confidential material, and cease new promotion. Valid cleared earnings accrued before termination may remain payable; earnings linked to breach, fraud or unqualified activity are forfeited to the extent lawful.
12Commercial responsibility
Each party remains responsible for its own conduct. To the maximum extent lawful, Ident.ink is not liable for indirect or consequential loss, lost commission, expected business or goodwill. Aggregate liability under the partnership is limited to partner compensation paid or payable in the twelve months before the event, except where law does not permit limitation.
You will indemnify Ident.ink against third-party claims, regulatory penalties and reasonable costs caused by your unlawful promotion, misleading statement, privacy breach, infringement or material breach, except to the extent caused by Ident.ink.
13Changes and disputes
We may update these terms prospectively and will give reasonable notice of a material commercial change. Continued promotion after the effective date accepts the update; otherwise stop promotion and request termination.
The Terms of Service and Disputes and Arbitration Policy apply. A written partner order may set a specific governing law, arbitration seat or campaign term. If it does not, the business dispute rules in the Disputes and Arbitration Policy apply where lawful.
Partner access is a revocable commercial permission and never grants staff, administrator, hosting or bot entitlements unless expressly written.
